May 4, 2014 Emergency Meeting Minutes

Meeting was brought to order at 8:05 a.m. at the Brazos Volunteer Fire Station

Directors Present: Mike Valdez

Deej Banister

Rubel Martinez (Skype)

Paul Walenciak

Tom Petersen

Mike Valdez, Vice-President, presented a resignation letter from Clay Kilmer. The Board accepted the resignation. Clay Kilmer held the position as President of the BMDWCA.

Interim Election of President:

The immediate election of a BMDWCA President was discussed. Deej Banister made a motion to elect Tom Petersen as Interim President. Paul Walenciak seconded. Walenciak, Valdez, Banister, and Rubel voted for the motion. Petersen abstained. The motion carried.

Annual Meeting Preparation:

Tom Petersen as Interim President will prepare the annual letter and report.

Annual Meeting:

Paul Walenciak made a motion to change the annual meeting date from May 24, 2014 to July 5, 2014 at 1:30 p.m. at the VFD. Tom Petersen seconded. The motion unanimously carried. This immediate election action was necessary to meet the Board’s Bylaw requirement for preparation and notification of the Annual meeting (not more than 40 days and not less than 10 days prior to the meeting)—as well as Board candidate procurements.

Tom Petersen closed the meeting asking all Association members to participate in a Board of Director candidate search.

The meeting officially adjourned at 8:40 a.m.

The next meeting will be May 25, 2014 at 8:00 a.m. at the VFD.
