April 28, 2007 Meeting Minutes

The meeting of April 28, 2007 was called to order at 8:00 a.m., at 733 Hwy 512, Brazos Canyon, cabin of director, Carolyn Barron.

Directors Present:  David Sainz, Rex Sewell, Tom Petersen, Mike Valdez, Ron Stafford and Carolyn Barron

Directors Not Present:  TJ Allard, Irv Lindemuth, Rubel Martinez

Minutes of the March 11, 2007 meeting were read Tom Petersen motioned to accept, Rex Sewell seconded, motion carried.

Treasurer’s Report was read from the balance sheet prepared by the bookkeeper, Gretchen Denman, Ron Stafford motioned to accept, Mike Valdez seconded, motion carried.

Motion by Ron Stafford to reimburse Carolyn Barron $31.00+ ,for additional expenses incurred for mailing the ballots, Rex Sewell seconded, motion carried.  Copies of cash receipts to be delivered by David Sainz to Rubel Martinez for issuance of reimbursement check to Carolyn Barron.

UBPOA Land Lease with BMDWCA for the storage tank location behind the deer shed was due to be paid, $335.00, Rex Motioned to accept, Carolyn Barron seconded, motion carried.

Property Transfers were discussed.  Carolyn reported the transfer from Leverich to Candelaria and the transfer from Killman to Praiswater, Greenhaulgh transfers (2) to Corkins Lodge had not been received.

Delinquent accounts were discussed.  Marianne Robinson had paid her past due account in full.  Other water users that had not been billed in the past three years were Michael Grey having one property , who now lives in Billings, Montana and David Sainz having two properties.  The board unanimously approved allowing Michael Grey a grace period of 24 months to bring his past due account current as long as he pays his current dues.

David Sainz presented a draft for allowing the BMDWCA to drill a supplemental water well and build an office for the BMDWCA on his property located on #38 Water Line Road in exchange for the amount of dues and assessments in arrears on two of his properties (Brazos Lodge and lot in front of Lodge), current membership dues and assessments, and future dues and assessments for the three properties he currently owns.  The three properties belonging to David and Yvonne Sainz are Brazos Lodge property, a small lot in front of the lodge, and the property on Water Line Road.  After discussion by the board, it was suggested that a document be drawn up in the form of a “lease agreement” by and between Sainz’ and BMDWCA, that the amount of the annual lease to be for the property on Water Line Road only, the lease to be for the term of the life of the well.  Some points of consideration were, $675 annual payment or the current water memberships for the three properties involved; liability insurance & personal property tax to be paid by BMDWCA, if any of the lots involved were sold the agreement to the new owner would only involve the well location and office on #38 Water Line Road and not the Lodge or the lot in front of the Lodge.   The board did not make a motion to accept or reject Sainz’ offer at this time, but does want to further the discussion at the next meeting. David is to contact Peter Holzem, Esq. of Chama.   Ron Stafford proposed that the board pay for the attorney fees in having the document drawn up.  Carolyn Barron seconded. Motion carried.

Liability Insurance for the BOD Error’s and Omission insurance applications have been submitted by Carolyn Barron to Alcorn Insurance of Chama, Hub International of Las Cruces, and Pratt State Farm of Albuquerque.  The delay in submitting the applications was due to not being able to obtain the last three years of financial information from the former bookkeeper.

Ron Stafford reported that he has been filling out the loan application for the supplemental well.  Tanya Ortiz with the Construction Industries Division Environmental Department had been helpful with the loan.   The NM Finance Authority is a 3% loan over a 20 year loan--line of credit loan.

Rogers Well Service in Albuquerque can drill an eight-inch hole for the new well.  Levi Sandoval, BMDWCA water system operator, and Rex Swell were asked to develop a scope of work for the new supplemental well. 

Mike Valdez was asked to have Cecil Cox a dowser from Tierra Amarilla to dowse the location of the new well. 

Carolyn Barron requested that all directors donate one door prize for the annual meeting being held at 10 a.m. on Saturday, May 26, 2006 at the Brazos Canyon Volunteer Fire Department.

Rex Sewell motioned to adjourn, Tom Petersen seconded, motion carried.
